Course Overview:

This course provides a comprehensive and practice-focused examination of ethical responsibilities for Certified Public Accountants licensed in Minnesota. This course is specifically designed to assist licensed Minnesota CPAs in satisfying state-mandated ethics CPE requirements while strengthening their ability to apply ethical standards in real-world professional settings.

The course integrates the requirements of Minnesota Rules Chapter 1105, oversight expectations of the Minnesota Board of Accountancy, and the principles and rules established under the AICPA Code of Professional Conduct. Participants will develop a deep understanding of how these frameworks operate together to regulate CPA conduct, enforce professional standards, and protect the public.

Through detailed instructional modules, the course explores independence, objectivity, conflicts of interest, confidentiality, data protection, professional judgment, and enforcement mechanisms. Particular emphasis is placed on the evolving role of technology, including the ethical implications of Artificial Intelligence (AI) in accounting, audit, tax, and advisory services.

The course goes beyond theoretical discussion by incorporating multiple in-depth case studies that simulate complex ethical dilemmas encountered in modern CPA practice. These case studies—paired with structured learning activities—require participants to apply ethical frameworks, evaluate risk, exercise professional judgment, and develop defensible decision-making processes aligned with both state and national standards.

By the end of the course, participants will be equipped not only to satisfy Minnesota’s ethics CPE requirements, but also to navigate high-risk professional situations with confidence, maintain compliance with regulatory expectations, and uphold the integrity and public trust associated with the CPA designation.

9. Identify and implement best practices for documentation, client communication, and firm-level controls to support ethical compliance and defensible professional judgment.

10. Recognize and respond appropriately to ethical risks arising from technology use, client pressure, time constraints, and organizational influences within CPA practice.
